Coinbase Launches IPO Allocation Feature for U.S. Retail Investors

How the IPO Allocation Process Works
Investors must open the “IPOs” section in the Coinbase app, select an active offering, and fund their brokerage account. After the expected price range is disclosed, they can submit a “Conditional Offer to Buy,” which remains editable or cancellable until the order period closes. When the order book closes, shares are allocated based on demand and the supply provided by the underwriters. Allocation outcomes may be full, partial, or none.
Eligibility and Holding Requirements
Customers must complete an eligibility questionnaire to confirm they are not restricted from participating in IPOs. Coinbase’s allocation algorithm favors investors who intend to hold shares rather than sell immediately. Selling allocated shares within 30 days can disqualify an investor from future IPO allocations for 60 days, and repeated early sales may reduce future allocation sizes.
Broker‑Dealer Structure
The transactions are processed by Coinbase Capital Markets Corp., a broker‑dealer registered with the SEC, FINRA and 51 U.S. states and territories. The broker‑dealer acts as a best‑efforts selling‑group member, aggregating orders and routing them through Apex Clearing Corp. for execution, clearing and custody. Coinbase does not hold IPO inventory or act as the opposite side of the trade.
Strategic Context
This feature extends Coinbase’s “Everything Exchange” strategy, which already offers more than 8,000 securities, fractional shares, 24/5 trading, pre‑IPO perpetual futures, stock options and plans for tokenized equities.
