MoonPay to Acquire North Capital Investment Technology, Expanding Tokenized Securities Capabilities

MoonPay has signed a definitive merger agreement to acquire North Capital Investment Technology, a provider of technology and regulated brokerage services for private markets. The deal, valued at over $60 million in an all‑stock transaction, aims to integrate North Capital’s broker‑dealer, advisory, clearing and alternative trading system (PPEX ATS) functions into MoonPay’s global platform.

Regulatory Infrastructure Added

North Capital operates several entities registered with the U.S. Securities and Exchange Commission, including broker‑dealers, a transfer agent and an investment advisor. By bringing these capabilities in‑house, MoonPay seeks to build a regulatory foundation for the mass adoption of tokenized real‑world assets.

Scale of Existing Operations

North Capital’s platform has processed more than $8.7 billion in primary and secondary transaction volume and its PPEX ATS supports over 1,250 approved assets for secondary trading. The acquisition is expected to add this volume and asset coverage to MoonPay’s stack.

Strategic Rationale

MoonPay’s CEO Ivan Soto‑Wright said the move reflects a broader industry push to acquire established, regulated market infrastructure as mainstream finance explores tokenization. North Capital founder James P. Dowd highlighted the opportunity to combine teams and expand access and liquidity in private markets.

Next Steps

The transaction has been unanimously approved by the boards of both companies but remains subject to customary closing conditions and regulatory approvals. Upon completion, North Capital will operate as a wholly owned subsidiary of MoonPay.
