Robinhood and AMC Clash Over Tokenized Stock Listing

AMC Entertainment, the largest cinema chain, has demanded that Robinhood remove its tokenized version of AMC stock from the platform. The company argues that the tokens trade using AMC’s price and branding while investors do not receive actual shares, creating a risk of confusion.

Why AMC Wants the Tokens Gone

CEO Adam Aron says the token structure could mislead investors into believing they own real AMC equity. He plans to raise the issue with regulators, describing the arrangement as “contemptible.”

Robinhood’s Position

Robinhood’s chief legal officer, Dan Gallagher, a former SEC commissioner, responded that the company is prepared to discuss the matter with legal counsel and emphasized its understanding of U.S. securities law.

How the Tokens Work

The tokenized product tracks the price of AMC’s listed shares but does not confer ownership, voting rights, or a claim to the underlying equity. Holders receive an offshore‑issued debt instrument linked to the stock price, effectively a synthetic claim rather than the asset itself.

Industry Perspective

Fintech lawyer Ariel Givner highlighted the legal gray area of such products, noting that the token represents a claim, not the underlying asset. Myles Harrison, chief product officer at AMINA Bank, echoed that ownership records reside outside the token.

Potential Regulatory Implications

While no lawsuit has been filed, the dispute could become a test case for how tokenized securities are regulated, especially since Robinhood does not currently offer the tokens to U.S. investors.
