S&P Global to Acquire OpenZeppelin, Bringing Web3 Security Under Wall Street Oversight

S&P Global announced a pending acquisition of smart‑contract security firm OpenZeppelin. The deal keeps OpenZeppelin’s open‑source code and leadership intact while adding S&P’s research and institutional reach.

S&P Global has agreed to acquire OpenZeppelin, the leading provider of smart‑contract security tools and audits. The transaction, still subject to closing conditions, will place the crypto‑focused company within the broader S&P Global group that includes S&P Global Ratings.

Deal Structure and Continuity

OpenZeppelin will retain its name and operate as an independent business unit after the acquisition. Founder Demian Brener will continue to lead the company and will report to Yann Le Pallec, president of S&P Global Ratings. The firm’s security audits, engineering services, and ecosystem programs are pledged to continue with the same team.

Open‑Source Commitment

All existing OpenZeppelin Contracts will remain open source under the MIT License, and the company reaffirmed that future releases will stay permanently open source. The open‑source repository has facilitated the transfer of more than $37 trillion in value since 2015.

Benefits of S&P Ownership

  • Access to S&P’s research capacity and market data.
  • Expanded institutional reach for OpenZeppelin’s security expertise.
  • Additional resources without altering the public availability of the code.

Customer Terms

OpenZeppelin’s current terms of service allow S&P to adjust paid or hosted plans, including pricing, features, quotas, and usage limits, with appropriate notice and protections. The acquisition does not guarantee changes to every product feature or price.

Financial Impact

S&P Global did not disclose the financial terms of the deal and does not expect a material impact on its own financial results.
